EarnUSD Terms of Service

By using the platform provided by EarnUSD (hereinafter referred to as "the Platform") and accessing the website (https://earn-usd.com/, hereinafter referred to as "the Website") with your registered account (hereinafter referred to as "Account"), you agree to be bound by the following terms and conditions (hereinafter referred to as "Terms of Service") when accessing the Website and using the services (collectively referred to as "Services"). Please read this agreement carefully. If you do not agree to the terms of this agreement, please do not register an account, access the Website, or use the Services.

Scope of Agreement

Please note that when using our Services, you are also bound by our Privacy Policy and Cookie Policy, the contents of which form a binding agreement between you and EarnUSD. The agreement between you and EarnUSD consists of these Terms of Service, Privacy Policy, and Cookie Policy (collectively referred to as "Agreement"), which together form the complete agreement.

EarnUSD reserves the right to modify, amend, or update the terms of this Agreement at any time. Additional terms may be added for the Services in the future, and if you use the Services, such additional terms will become part of this Agreement. If there are any subsequent changes, amendments, or updates to this Agreement, and you do not agree to such changes, you may still access your transaction records and funds, but you will not be able to continue using other Services or the Website.

1. Acceptance of Agreement

By accessing or using the Services and Website in any manner (including but not limited to through third-party devices or services), you acknowledge and agree to be bound by the terms of this Agreement, and that the terms of this Agreement may be modified in accordance with these Terms of Service.

2. Eligibility

If you do not meet the above eligibility requirements, please do not access or use the Services and Website. Otherwise, you/your parents/legal guardians shall bear all legal and financial responsibilities arising therefrom, and EarnUSD reserves the right to claim compensation from you/your parents/legal guardians for any damages caused by such access or use. Additionally, EarnUSD reserves the right to suspend, cancel, or terminate your user account.

  • You are at least 20 years old, or meet the minimum legal age required by applicable law to be provided with the Services without parental consent
  • You agree to the terms of this Agreement (and have full capacity to exercise this right of consent)
  • Your country of residence or nationality is not a country or region with which U.S. nationals are prohibited from conducting business, and you are not listed on the SDN list
  • You have not been previously suspended or removed from the Website
  • You own all digital assets on the Platform (or are authorized to trade such digital assets)
  • You have obtained all necessary authorizations and consents to execute transactions with your Account
  • You provide true, accurate, and complete information for account registration
  • You have read all risk disclosure statements in this Agreement and agree to bear all risks described therein

4. Account Registration and Security

4.1 Registration Requirements

To use certain features or characteristics of the Services and Website, you must first register an EarnUSD account. After completing the activation process, you become a registered EarnUSD user and can begin accessing and using the Services and Website.

4.2 Personal Information Provision

When registering an EarnUSD account and during subsequent account activation, you will need to provide specific personal information, including but not limited to: email address, username, and creating an account and setting a password.

4.3 User Obligations

By activating your account or accessing the Services and Website, you agree to:

  • Provide accurate, current, and complete personal information, and promptly update such information to ensure it remains accurate, current, and complete
  • Maintain the security of your identity
  • Accept the risks associated with incorrect, outdated, or incomplete information

4.4 Identity Verification

You authorize EarnUSD to make inquiries, either directly or through third parties, that we consider necessary to verify your identity and/or prevent fraud. You further authorize all third parties to provide complete responses to such inquiries or requests.

4.5 Account Management Rights

EarnUSD reserves the right to:

  • Refuse your registration or activation of the Services and Website
  • Limit the number of accounts a single user can create or own
  • Suspend, restrict, or terminate your access and usage rights if EarnUSD determines you have violated this Agreement or engaged in any improper conduct
  • Disable/cancel your account and remove Website content under specific circumstances

4.6 Account Security

You are responsible for maintaining the security of your account, including but not limited to the security and control of all IDs and passwords, API keys. You must not share your account or password with third parties and must take necessary and reasonable measures to maintain confidentiality. If you discover any unauthorized use of your account, you must immediately notify EarnUSD.

5. Risk Disclosure Statement

You agree and confirm that you fully understand the risks involved in trading digital assets and are responsible for reviewing the regulatory status and requirements of relevant authorities. Risks include but are not limited to:

  • Digital assets are not legal tender and their use may be restricted or prohibited in specific jurisdictions
  • The value of digital assets may fluctuate significantly
  • Information technology systems may be subject to cyber attacks
  • Transmission failures or delays may occur when using the Platform
  • The nature of telecommunications and network services may result in transaction orders not being properly executed

6. Ownership and License

6.1 Usage License

EarnUSD grants you a limited, non-transferable, and non-exclusive right to access and use the Services, Website content, and Website for personal, non-commercial purposes.

6.2 Usage Restrictions

Except as specifically permitted by this Agreement, you may not:

  • Copy, plagiarize, develop, or reproduce the Services, Website, or Website content
  • Create any derivative works based on the Services, Website, or Website content
  • Reverse engineer, decompile, or disassemble
  • Distribute malware or viruses
  • Distribute, transfer, sell, rent, sublicense, or grant your account to third parties
  • Remove or alter any trademarks or copyright notices on the Services and Website
  • Probe, scan, or test system vulnerabilities
  • Circumvent any security or authentication measures

7. User Code of Conduct

7.1 Prohibited Activities

You agree not to use the Services and Website for:

  • Providing any illegal, harassing, pornographic, or infringing content
  • Incitement of discrimination or hatred
  • Impersonating others
  • Disseminating confidential information
  • Violating others' intellectual property rights
  • Distributing spam or engaging in pyramid schemes
  • Distributing malicious programs
  • Violating applicable laws and regulations
  • Harassing other users
  • Unauthorized collection of personal data

7.2 Information Disclosure

EarnUSD has the right to access, retain, or disclose your account information when:

  • Complying with legal procedures
  • Enforcing this Agreement
  • Responding to government authority requests
  • Handling customer service matters
  • Preventing fraud or security issues

8. Third-Party Websites and Smart Contracts

8.1 Third-Party Websites

The Website may contain links to third-party websites. EarnUSD is not responsible for the content of such websites, and you use them at your own risk.

8.2 Smart Contracts

EarnUSD does not support smart contract transactions, and you bear all risks associated with using smart contracts.

9. Disclaimer and Liability

Bitfinex Related Statements

  • Bitfinex margin financing service is a peer-to-peer margin financing platform provided by Bitfinex exchange
  • Lending rates are determined by platform supply and demand, not fixed rates or guaranteed rates
  • EarnUSD is a third-party plugin service for the Bitfinex platform, providing only automated order placement services
  • EarnUSD is not an official partner of Bitfinex and does not handle user funds
  • Cryptocurrency market risks are unrelated to EarnUSD

General Disclaimer

  • The Services are provided "as is" without any form of warranty
  • EarnUSD does not guarantee the continuity of services or specific features
  • Users bear the risks of using the Services
  • EarnUSD is not liable for indirect, incidental, or special damages

10. Indemnification

You agree to indemnify EarnUSD and its related parties for any losses and expenses arising from your violation of this Agreement, use of the Services, or infringement of third-party rights.

11. General Terms

11.1 No Class Action Rights

You and EarnUSD may only bring claims against each other in your individual capacity, not as a class action.

11.2 Amendments

EarnUSD reserves the right to modify this Agreement at any time, with significant modifications being notified separately.

11.3 Entire Agreement

This Agreement constitutes the complete agreement between the parties and supersedes all prior agreements.

11.4 Assignment

You may not assign your rights and obligations under this Agreement, while EarnUSD may assign to its affiliates.

11.5 Severability

The invalidity of any provision does not affect the validity of other provisions.

11.6 Change of Control

If EarnUSD is acquired or merged, user information may be transferred.

11.7 Survival of Terms

Relevant statements, warranties, and promises remain effective after the termination of the Agreement.

11.8 Force Majeure

EarnUSD is not obligated to fulfill services when unable to do so due to force majeure events such as natural disasters or government actions.
